Terms of Service

These Terms govern access to Concierge, a Testamplify LLC product built by PracticaLabs.

Please read these Terms carefully. By creating an account, purchasing a plan, accepting an order, or using Concierge, you agree to these Terms on behalf of yourself or the organization you represent.

1. Eligibility and authority

You must be at least 18 years old and able to form a binding contract. If you use Concierge for an organization, you represent that you have authority to bind it. You must provide accurate account information and keep it current.

2. Accounts and security

You are responsible for account credentials, permitted users, roles, connected sites, and activity under your account. Do not share credentials, bypass access controls, or permit unauthorized use. Notify support@poweredbyconcierge.com promptly if you suspect compromise.

3. The service

Concierge may include an AI website Agent, Pages, chat and voice experiences, customer messages, human routing, notifications, website crawling and analysis, Growth and Insights, customer-growth tracking, mobile access, integrations, and related administration. Features, limits, availability, and support vary by plan, region, provider approval, and release status.

We may improve or modify the service. We will not intentionally remove a material paid capability during a current paid term without providing a reasonable substitute, notice, credit, or termination option when required by law or the applicable order.

4. Trials, plans, subscriptions, and payment

  • Current plan prices, billing interval, limits, and included features are shown at checkout, on the Pricing page, or in an applicable order form.
  • A recurring subscription renews at the stated interval until cancelled. The default payment method may be charged for renewals and approved plan changes.
  • You authorize our payment provider to process charges, taxes, adjustments, and approved refunds. You are responsible for applicable taxes other than taxes on our income.
  • Trials, promotional pricing, credits, and founding offers may have eligibility, quantity, term, conversion, and expiration conditions shown when offered. They may not be transferred or combined unless stated.
  • Plan upgrades may take effect immediately. Downgrades or cancellations generally take effect at the end of the current paid period unless checkout, account settings, an order form, or applicable law states otherwise.

Fees already charged are non-refundable except where required by law, expressly stated at purchase, or approved by us. To question a charge or request an eligible refund, contact support promptly. Approved refunds are normally returned to the original payment method.

5. Cancellation, suspension, and termination

You may cancel through available billing controls or by contacting support. Cancellation stops future renewal but does not automatically delete stored data. Use Data Deletion when removal is required.

We may limit, suspend, or terminate access for nonpayment, security risk, unlawful use, material breach, provider restriction, or conduct that threatens visitors, customers, or the service. When practical, we will provide notice and an opportunity to cure. Urgent safety, legal, security, or abuse risks may require immediate action.

6. Customer content and instructions

You retain ownership of content, data, domains, branding, instructions, and materials you submit or authorize us to retrieve (“Customer Content”). You grant Testamplify LLC and its providers a limited right to host, copy, process, transmit, display, and adapt Customer Content only as needed to provide, secure, support, and improve the service or comply with law.

You represent that you have the rights and permissions needed for Customer Content, connected websites, visitor interactions, knowledge sources, domains, and provider accounts. You are responsible for the accuracy of approved business information, instructions, routing destinations, and published Pages.

7. Visitor privacy and customer responsibilities

You determine how your Concierge Agent interacts with your visitors. You are responsible for an appropriate privacy notice, lawful basis, consent, messaging rules, record handling, and industry-specific obligations. Do not use Concierge to collect information you are not authorized to process. If Testamplify LLC processes personal information on your behalf, the Data Processing Addendum applies when required.

8. Artificial intelligence, voice, and human escalation

AI-generated and voice responses may be inaccurate, incomplete, delayed, or unsuitable for a particular situation. You must test the Agent, maintain approved source material, monitor performance, and provide an appropriate human path. Concierge is not a substitute for emergency services or qualified medical, legal, financial, insurance, safety, or other professional judgment.

Unless a separate written agreement says otherwise, the standard service is not offered as HIPAA compliant and does not include a Business Associate Agreement. Additional limitations appear in our AI Disclosure.

9. Acceptable use

You must follow the Acceptable Use Policy. You may not misuse the service, interfere with its operation, attempt unauthorized access, evade limits, use it for unlawful surveillance or deception, or publish prohibited content. We may investigate reports and preserve relevant evidence.

10. Connected services

Integrations are governed by both these Terms and the connected provider's terms. You authorize Concierge to access and use the provider data and scopes you select. Providers may change APIs, revoke access, impose reviews, or interrupt service. We are not responsible for a third party's independent conduct, but we remain responsible for our obligations regarding data we process.

11. Beta, preview, and limited-availability features

Features identified as beta, preview, pilot, experimental, or limited availability may be incomplete, change materially, have lower support commitments, or be discontinued. Do not rely on them for high-risk or legally required workflows unless a written agreement expressly permits that use.

12. Intellectual property and feedback

Testamplify LLC and its licensors retain all rights in Concierge, including software, designs, documentation, models, branding, and improvements, excluding Customer Content. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes during the subscription term.

If you provide feedback, you permit us to use it without restriction or payment, provided we do not identify you publicly without permission.

13. Confidentiality

Each party may receive non-public business, technical, or security information from the other. The receiving party will use reasonable care, use it only for the relationship, and disclose it only to people who need it and are bound to protect it. This does not cover information that is public without breach, already known lawfully, independently developed, or lawfully received from another source.

14. Service availability and support

We work to keep Concierge available and secure, but uninterrupted or error-free service is not guaranteed. Scheduled maintenance, provider failures, internet conditions, emergencies, and security events may affect availability. Any specific service level or support commitment must be stated in a separate written order or agreement.

15. Disclaimers

To the maximum extent permitted by law, Concierge is provided “as is” and “as available.” Testamplify LLC disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that output will be accurate, complete, or achieve a particular business result. These disclaimers do not limit warranties or rights that cannot legally be excluded.

16. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, opportunities, or data. Testamplify LLC's aggregate liability arising from the service will not exceed the amount paid or payable for the affected service during the 12 months before the event giving rise to the claim. These limitations do not apply where prohibited by law or to fraud, willful misconduct, or obligations that cannot legally be limited.

17. Indemnification

You will defend and indemnify Testamplify LLC and its personnel against third-party claims arising from Customer Content, your websites or visitor interactions, your violation of law or these Terms, or your use of Concierge in a prohibited or unauthorized manner. We will provide reasonable notice and cooperation and will not agree to a settlement that admits your fault or imposes non-monetary obligations on you without consent.

18. Data after termination

Before termination, export information through available product features where supported. After termination, access may end and data may be deleted according to our Data Retention Notice, customer instructions, legal obligations, and backup lifecycle. Termination does not eliminate accrued payment obligations or provisions that by their nature should survive.

19. Disputes and governing terms

The parties will first try in good faith to resolve a dispute by contacting one another. An order form or separately signed agreement may specify governing law, venue, and a dispute process and will control if it conflicts with this section. Otherwise, governing law and forum will be determined under applicable law. Nothing prevents either party from seeking urgent injunctive relief or using an applicable small-claims process.

20. General terms

You may not assign these Terms without our consent, except as part of a merger or sale of substantially all relevant assets. We may assign them in connection with a reorganization, financing, merger, acquisition, or asset transfer. If one provision is unenforceable, the remainder continues. Failure to enforce a provision is not a waiver. These Terms, an applicable order, the Privacy Policy, DPA, and incorporated policies form the agreement for the service.

21. Changes and contact

We may update these Terms. We will provide reasonable notice of material changes when required. Changes apply prospectively from their stated effective date; continued use after that date constitutes acceptance where permitted.
